BOARD OF DIRECTORS
Since the acquisition of the parent company Western Financial Group by Desjardins in the spring of 2011, the Board of the Company has undergone some changes to its membership, including Chairs of the Audit and Investment committees of the Board. These changes were instituted to align the membership of the Board of Directors with that of the new owner Desjardins Financial Group.

Jim Dinning
Chairman of the Board of Directors
Mr. Dinning is the chair of the board of the Company and its parent Western, as well as being chair of the board of Export Development Canada. He is also the chair and director of a number of public and private companies and not for profit organizations. Until December 2004, Dinning held the position of executive vice president, TransAlta Corporation. Prior to joining TransAlta in 1997, Dinning held several key positions during his 11 years as a member of the legislative assembly in Alberta. Of note is Dinning's service as provincial treasurer from 1992 to 1997. Dinning is a graduate of Queen's University with two degrees: a Bachelor of Commerce in 1974 and a Masters in Public Administration in 1977. He received an honorary Doctor of Laws degree from the University of Calgary in 2002. Dinning is married, has four children and resides in Calgary.

Douglas Buchanan
Chair, Corporate Governance
Mr. Buchanan was the National Managing Partner of the law firm Davis LLP for two terms, 1995-98 and 2004-07. He practices out of the firm's Vancouver, Toronto and Tokyo offices and is one of the leading lawyers in Canada in the areas of banking, corporate and M&A, project finance and project development, including natural resource projects, power projects, public-private partnerships and infrastructure projects. Mr. Buchanan is a director of a number of corporations, including a Canadian chartered bank, a Canadian life insurance company and an international automobile manufacturer and an officer of the British Columbia Lions of the Canadian Football League. He is also a member of both the Canadian Bar Association and the Canada-Japan Society of British Columbia.

Robert Herdman
Chair, Audit committee
Corporate Director since 2010.
Mr. Herdman is a Fellow Chartered Accountant and was formerly a senior partner at Price Waterhouse and Price Waterhouse Coopers in Calgary providing extensive service to companies operating in both the mining and thermal recovery of oil sands. After enjoying a 34-year career with the firm, Mr. Herdman retired from practice in 2010. He currently serves on the Boards of Directors of: Chinook Energy Inc., SemBioSys Genetics Inc., Blackline GPS Corp. and Western Financial Group Inc. He is also a member of the Governors of the Glenbow Museum. He recently completed a six year term on the board of governors of the Chartered Accountants Education Foundation and has served on a number of other committees overseeing the practice of accounting in Alberta and as a director for a number of not for profit organizations. Mr. Herdman graduated with a Bachelor of Education degree from the University of Calgary.

Scott Tannas
Director
In his position as President and Chief Executive Officer of Western, Scott Tannas leads a team that is dedicated to building the strongest financial institution in Western Canada. In 1996, with the initial backing of a group of local business people, the company was listed on The Alberta Stock Exchange. In 1998, the company graduated to The Toronto Stock Exchange and initiated an unprecedented application for a Schedule 1 Canadian bank charter, which result in the creation of Bank West in 2003. Tannas has received an Ernst & Young Entrepreneur of the Year award, was named as one of Alberta's Most Influential Citizens by Venture Magazine. In addition to his business commitments, Tannas is a member of the Ranchmen's Club of Calgary, a fundraiser for SOS Children's Villages Canada, and chairman of the Western Communities Foundation.

Stéphane Achard
Director
Stéphane Achard is Senior Vice-President and General Manager, Business and Institutional Services, Desjardins Group.
He is responsible for supporting the caisses and Desjardins Business Centres in developing their markets through the development of business strategies and service offers to businesses of all sizes, and by monitoring overall market performance. He is responsible for all business services, in particular capital markets (debt and equity), financing activities, venture capital, international business, safekeeping of securities, and payroll and human resources services.
Prior to his appointment, Mr. Achard was Senior Vice-President, Business Markets of the Fédération des caisses Desjardins du Québec since 2003.
Mr. Achard has an MBA from Concordia University. He worked in business services in Quebec City, Montreal and Toronto both for Desjardins and a major Canadian financial institution.

Normand Desautels
Director
Normand Desautels is Senior Vice-President and General Manager of Personal
Services of Desjardins Group.
He is responsible for developing and marketing the personal services offer to mass markets to ensure a profitable increase in market share in Quebec and the Canadian market. He is also responsible for supporting the caisses and their product and services distribution centres by optimizing the performance and profitability of physical and virtual networks.
Mr. Desautels has been with Desjardins since 1972, and since 2004 was Senior Vice-President, Western Region of the Fédération des caisses Desjardins du Québec. He has over 30 years of experience at Desjardins Group, 15 years of which in higher management positions.
Mr. Desautels has a degree in Management (Western Executive Program) from the Western Business School of the University of Western Ontario. He is also an accountant and has been a member of the Ordre des CGA du Québec since 1977.

Pierre Mathieu
Director
Vice President, Partnerships and Acquisitions, Strategic Partnerships of Desjardins since 2010. Previously Vice President, Structured Finance, Treasury and Mergers and Acquisitions of Bombardier Transportation, a transportation company, from 2008 to 2010 and Vice President Structured Finance of Bombardier Transportation from 1995 to 2008.

Sylvie Paquette
Director
Sylvie Paquette is Senior Vice-President and General Manager of the Property and Casualty Insurance of Desjardins Group.
She is responsible for the development of property and casualty insurance products, product distribution and customer service. In addition, she is responsible for optimizing the product offer for Desjardins Group members and ensuring the Canada-wide growth of this business sector. Ms. Paquette also acts as President and Chief Operating Officer of Desjardins General Insurance Group.
Ms. Paquette has been with Desjardins since 1984 and has held various positions at Desjardins General Insurance Group, including Head of Integration during the acquisition of the property and casualty insurance subsidiaries of a large Canadian bank, Senior Executive Vice-President of Corporate Development and President and Chief Operating Officer.
Ms. Paquette has a degree in Actuarial Science from Université Laval and is a Fellow of the Canadian Institute of Actuaries and the Casualty Actuarial Society. She is on the Board of Directors of several organizations in the property and casualty insurance industry and is recognized for her community involvement.

Karen Radford
Director
As Executive Vice President, People and Partners, Karen Radford leads Enbridge's Human Resources and Public & Government Affairs teams. Karen joined Enbridge in 2011 having served most recently as a member of the executive leadership team at TELUS. A biologist by training, Karen moved to a career in telecom in 1991 when she joined New Brunswick Tel where she held roles in customer care, marketing, sales, field services and IT. She then joined TELUS in 1998. Some of her past roles include Vice President, Customer Care; Vice President, National Service Fulfillment; and Vice President, National Service Assurance. In 2004, Karen joined the TELUS executive team as President of Partner Solutions and later TELUS International. She has also served as President of TELUS Quebec and most recently President of Business Solutions.
Karen serves on the boards of the Alberta Children's Hospital Foundation, the Western Financial Group, the TELUS Calgary Community Board and she is the President and Co-Founder of the Women's Leadership Foundation. She has also served as a director for Loblaw Companies Limited, and a national adviser to Youth in Motion and Women in Motion.
In 2006 Karen was named one of Canada's Top 40 Under 40 and Woman of the Year by the Canadian Women in Communications organization in 2007. She was inducted into the Women's Executive Network Hall of Fame in 2007 and that year was also voted Best Canadian Executive by the Stevie Awards for Women in Business. Karen was also recognized as a Woman of Distinction for her community dedication by the YWCA Foundation in 2009.
Karen received a Masters of Business Administration from Dalhousie University in 1991 and a Bachelor of Science from Mount Allison University in 1989.
